Terms of Service

These Terms of Service ("Terms") are an agreement between you and XY Space Inc ("XY Space", "we", "us") and govern your access to and use of Sota, our managed inference service available at trysota.xyspace.dev and through its API (the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Sota provides access to third-party, open-weight language models, including GLM-5.2 and Kimi K2.7 Code, served through an OpenAI-compatible and Anthropic-compatible API. Inference runs on Cloudflare's network rather than on the model developers' own infrastructure. We may add, change, or remove models, features, and endpoints over time.

2. Accounts

You sign in using a one-time code sent to your email address. You are responsible for the email account you use, for keeping your API keys confidential, and for all activity that occurs under your account or keys. Notify us promptly if you believe a key has been exposed. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

3. Acceptable use

You agree not to use the Service to:

  • break any applicable law or regulation, or infringe anyone's rights;
  • send content you are not authorized to process, including code, credentials, or personal data you lack the right to transmit;
  • attempt to circumvent rate limits, spend ceilings, or other technical controls, or to probe, scan, or disrupt the Service;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan;
  • generate content that is unlawful, or use model output in a way that causes harm for which you would be responsible.

4. Your content

"Your Content" means the prompts, code, files, and other inputs you send to the Service, together with the outputs returned to you. As between you and us, you retain all rights you have in Your Content. You grant us a limited license to process Your Content solely to operate and provide the Service. We do not claim ownership of Your Content, and we do not use it to train models. How we handle Your Content is described in our Privacy Policy.

5. Third-party models and output

The models available through the Service are developed by third parties and made available under their respective open-weight licenses. Model output is generated automatically and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and testing any output before relying on it, especially code that will run in production. The Service is not a substitute for professional judgment.

6. Plans, billing, and cancellation

Paid plans are billed on a recurring basis through our payment processor, Stripe. By subscribing, you authorize recurring charges at the then-current rate for your plan until you cancel. You can cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law or expressly stated otherwise. We may change pricing on a prospective basis with reasonable notice.

7. Intellectual property

The Service itself, including our software, branding, and documentation, is owned by XY Space and its licensors and is protected by intellectual property laws. These Terms grant you no rights in the Service other than the right to use it as permitted here.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that model output will meet your requirements.

9. Limitation of liability

To the maximum extent permitted by law, XY Space will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to these Terms will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless XY Space from any claims, damages, and expenses arising out of Your Content or your use of the Service in breach of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after a change takes effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts of the Province of Ontario will have exclusive jurisdiction over any dispute arising out of these Terms, except where applicable law gives you the right to bring a claim elsewhere.
